Items in brackets must be completed before publishing. This document must be reviewed by a licensed Mexican labour attorney before use. Since 22 June 2025 work on digital platforms is regulated by Chapter IX Bis of the Federal Labour Law; these terms do not replace the written contract required by that chapter or IMSS registration where applicable.
1. Parties and purpose
These terms govern the use of the partner app (the "App") operated by [LEGAL ENTITY NAME], RFC [RFC], address [ADDRESS] (the "Platform"), by people who carry out passenger rides or product deliveries on Isla Holbox (the "Partners").
2. Nature of the relationship
- Under Chapter IX Bis of the Federal Labour Law, the relationship between the Platform and each Partner is formalised in an individual written contract, registered as required by the Ministry of Labour and Social Welfare, which prevails over these terms in case of conflict.
- Under that chapter, a Partner whose net monthly income generated on the Platform equals or exceeds one monthly minimum wage for Mexico City is a platform worker, with the rights the law provides (social security, proportional year-end bonus, holidays and holiday premium, profit sharing and any others that apply). A Partner with lower income is an independent worker, covered for work risks during time actually worked as provided by law.
- Time actually worked runs from acceptance of a service until it is completed or cancelled. Time online without a service is not working time unless the law provides otherwise.
- Partners who are members of the local transport cooperative and operate under their own concession also keep their relationship with the cooperative; the Platform acts as a service-assignment channel for them under this document and the agreement with the cooperative.
3. Freedom to connect
- The Partner freely decides when to go online, for how long, and which services to accept. Declining an offer carries no penalty and does not affect future priority, apart from a short 30-second wait before the next offer to avoid repeated assignments.
- The App imposes no targets, quotas or minimum hours.
4. Service assignment and algorithm transparency
- Each service is offered to one Partner at a time. The order prioritises the Partner nearest the pickup point and, among Partners at a similar distance, the one idle the longest. Ratings, acceptance rate and seniority are not used to order offers.
- Every offer shows before acceptance: the service type, pickup point, destination or delivery zone, approximate distance and the total pay the Partner will receive, including the split between fare and any known tip.
- The offer expires after [25] seconds if not accepted.
- Services are only offered to Partners whose location was updated in the last 90 seconds.
- Any substantial change to these rules will be announced to Partners in advance inside the App.
5. Pay
- Fixed zone rates, published in the App. The Partner's pay for each service is calculated from the same quote shown to the customer, with no later recalculation.
- Tips belong 100 % to the Partner. The Platform does not use them to cover base pay and charges no commission on them.
- Passenger rides: the fare belongs to the Partner and the rider pays the booking fee. The published ride fare belongs 100 % to the Partner; the Platform charges no commission on it. The Platform charges the rider, separately and visibly in the quote and the receipt, a flat booking fee per ride ([MXN 20]), which is Platform revenue and is not part of the Partner's pay. When the Partner belongs to a cooperative, the Platform pays the cooperative the share of the booking fee agreed in the cooperative agreement; that share is settled between the Platform and the cooperative and is never deducted from the Partner's fare or tip. Card processing costs are borne by the Platform.
- Platform commission on deliveries: [X] % of the delivery fee (excluding tips), visible in each service's detail.
- Cash. When the customer pays cash, the Partner keeps the full amount collected (for rides: fare, booking fee and tip) and the Platform's part is recorded as a pending balance: for rides, the full booking fee (the Platform pays the cooperative's share directly); for deliveries, the commission. The Partner settles that balance by SPEI transfer, payment at OXXO or cash at the office, at the frequency shown in the App. If the pending balance exceeds the limit shown in the App, only card-paid services are offered until it is settled; above twice the limit, offers are paused until regularised.
- Deposits. Earnings from card-paid services are deposited to the Partner's registered CLABE at the frequency shown in the App ([weekly]). The Partner can view the breakdown of every service and the payment history at any time.
- The Platform issues the tax receipts and makes the withholdings required by tax and social security legislation.
6. Requirements and verification
To be activated the Partner must present: a valid official ID, a valid driver's licence when driving vehicles that require one, proof of address, and the vehicle or unit documents. Cooperative Partners also present their membership certificate. The Platform verifies documents before activation and may request updates when they expire.
Identity verification. Anyone who signs up in the App as an independent Partner must photograph their official ID (INE or passport), take a photo of their face and, when using a motorbike, cart or car, their driver's licence, vehicle registration card and current insurance policy. A person from the Platform, or from the fleet or cooperative the Partner belongs to, reviews these documents before activating the account and may reject a document with a reason so the Partner can send it again. If the licence or insurance expires, the account is suspended until the Partner sends the updated document; the App warns 15 days before. The processing of these documents is governed by the Identity verification consent.
7. Partner obligations
- Perform accepted services diligently, respectfully and in line with Holbox traffic and road safety rules.
- Enter the night pickup PIN or delivery code when the App requests it, and never mark a service as delivered without completing it.
- Do not share the account, use location-spoofing apps, contact customers outside the App or request payments beyond those shown.
- Keep the unit in safe condition and use the applicable safety equipment.
- Report any incident, accident or conflict immediately through the help button.
8. Geolocation and data
- The App collects the Partner's location only while online or on a service, including in the background, to assign services, show progress to the customer and verify the service. Collection stops when the Partner goes offline.
- The Platform detects simulated-location signals, impossible jumps and positions off the island. Alerts are logged and, if they accumulate, may restrict offers to card payment and trigger human review.
- Data processing is described in the Privacy notice. The Partner has the right to request human review of any automated decision affecting them.
9. Safety and insurance
- The Platform provides [work-risk coverage under the Social Security Law / accident insurance [INSURER, POLICY]] during time actually worked.
- Vehicles must carry the third-party liability insurance required by the applicable rules in Quintana Roo.
- In an emergency the Partner must call 911 and then report in the App.
10. Ratings, suspension and deactivation
- Customer ratings are not shown until there are at least three and never cause automatic deactivation.
- The Platform may temporarily suspend the account while investigating a serious report (safety, fraud, conduct). Every suspension or deactivation is communicated in writing with the reason and available evidence, and the Partner has 10 business days to present their side through the channels shown in the App. The final decision is made by a person, not an automated system.
- Once deactivated, the Partner keeps the right to receive pending payments for services performed.
- The Partner may end the relationship at any time, without penalty, from the App or in writing.
11. Ownership and use of the App
The App and its content belong to the Platform. The Partner is granted a personal, limited, revocable licence to use it to provide services. Reverse engineering and use of modified versions are prohibited.
12. Changes
Changes to these terms will be announced in the App at least 15 days in advance unless the law requires longer. If the Partner does not accept them, they may end the relationship without penalty. Economic conditions (commission, booking fee, rates) will not change without that prior notice.
13. Governing law and jurisdiction
These terms are governed by the laws of the United Mexican States, including the Federal Labour Law. Labour disputes are resolved before the competent Conciliation Centres and Labour Courts; all others before the courts of [Cancún or Chetumal], Quintana Roo.
